If your Board is asking about risk, readiness, and resilience in the face of disruptive events, you’re not alone! For decades most nonprofits have parsed their approach to risk management: the finance team manages finance risks, the development team manages fundraising risks, and so forth. During this webinar, Melanie Lockwood Herman, Executive Director of the Nonprofit Risk Management Center, will introduce and explore a broadly-based conception of risk management called Enterprise Risk Management (ERM). ERM is a holistic approach to risk management that guides leaders to achieving a bird’s eye view of risk. Although ERM has become a familiar discipline in the world of large, for-profit entities, it’s still gaining traction in the nonprofit sector. The good news is that you can embrace ERM without buying anything; Melanie will explain how to think about and act on the top risks you face in a way that truly suits your mission, goals, culture, and circumstances.


Turning from the broad conceptual overview of risk management, this webinar will look at some key specifics of directors and officers (D&O) insurance policies. Lots of nonprofits have purchased D&O coverage, but will the policy you have in place defend you during your hour of need?

 

Jeffrey R. Lerman, a partner at Montgomery, McCracken in Philadelphia whose practice is centered on insurance coverage matters, will highlight key aspects of a typical nonprofit D&O policy:

  • What should you look for?
  • Who should be covered?
  • What is covered and what is not covered?
  • What is the “insured v. insured” exception?
  • When should you give notice of a potential claim to the carrier?
  • Do you let the carrier appoint counsel for you? What happens if you want to switch carriers?
  • How can you negotiate for better terms?

About the Facilitators

 

Melanie Lockwood Herman, Nonprofit Risk Management Center

In a world of never-ending uncertainty for mission-driven organizations, it is comforting to know that an eternal optimist and determined risk-taker, Melanie Lockwood Herman, is leading the Nonprofit Risk Management Center.

A prolific author of more than a dozen comprehensive (and comprehensible!) books and resource guides on various risk management topics, Melanie has delivered countless workshops and keynote presentations for organizations simply unwilling to leave success to chance. She earned a Bachelor of Arts Degree in Urban Affairs from American University (Washington, DC) and a Juris Doctor from George Mason University (Arlington, VA). She is a member of the District of Columbia Bar Association.

In August 2022, Melanie was named to The NonProfit Times Power & Influence Top 50.

In addition to her professional career, Melanie is an active volunteer in both professional organizations and community-serving nonprofits. She currently serves on the boards of two national organizations: the American Foundation for the Blind, and the National Human Services Assembly. Melanie is the former chair of the Legal Section Council of ASAE/The Center for Association Leadership, and during 2010-2013 she served on the Not-for-Profit Advisory Committee (NAC) of the Financial Accounting Standards Board. Jeffrey R. Lerman, Esq., Montgomery McCracken

Jeffrey R. Lerman focuses his practice on business litigation, with a particular emphasis on insurance coverage, commercial contract matters, and the defense of a wide range of professionals, including lawyers, accountants, teachers, psychiatrists, psychologists and other medical providers, governmental employees, and officials.

 

Jeff’s career has spanned more than 40 years. For nearly 30 of those 40 years, Jeff chaired Montgomery McCracken’s insurance practice. In this capacity he has been lead trial counsel and supervising attorney in hundreds of cases.

 

In addition to private practice, Jeff was an Assistant District Attorney in the City of Philadelphia for approximately one and a half years.

 

Jeff received his J.D. degree from Columbia University Law School in New York in 1972. As editor of the Columbia Law Review, Lerman’s law school career also included recognition as a James Kent Scholar (the highest honor for grades earned) and receipt of the Robert Nixon Toppen Prize (best exam in a Constitutional law course). Donald W. Kramer, Esq., Nonprofit Issues & Montgomery McCracken

Donald W. Kramer serves as chair of Montgomery McCracken’s Nonprofit practice group. Don has more than 45 years of experience dealing with the concerns of nonprofit organizations, not only as a lawyer, but also as a teacher, writer, publisher, and board member.

 

He has worked with nonprofits of all types and sizes, helping structure startup situations and restructure multiorganizational health and educational systems. He counsels on a wide range of nonprofit corporate structure and governance, private and community foundations, continuing care retirement communities, exempt organization taxation, low-income housing tax credit transactions, real estate, charitable giving, and other nonprofit issues.

 

Don serves as the editor and publisher of Don Kramer’s Nonprofit Issues®, a national newsletter of “Nonprofit Law You Need to Know,” which he founded in 1989.
